Terms and Conditions of Collaboration with the Decora Marketplace
Welcome to Decora’s online store.
These “Terms and Conditions” govern your use as a Supplier of the Decora online shopping platform (“the Platform”).
By registering and subscribing to our platform, you agree to be bound by these terms and to comply with them.
Please read these terms carefully.
1. Definitions
1.1 “Supplier” refers to any individual or entity that registers on the platform to offer their goods or services for sale.
1.2 “Platform” refers to the Decora online shopping website (Decora Marketplace) and its related services.
1.3 “Customer” refers to any individual or entity that purchases goods or services through the platform.
1.4 “Content” refers to any text, image, or other material uploaded to the platform by the supplier.
6. The supplier accepts and commits to complying with the required product packaging and product coding standards as provided by Decora.
7. The supplier holds all the necessary licenses and authorizations for the production, sale, and distribution of handicrafts and interior decoration products.
Therefore, the following terms and conditions are agreed upon by both parties for collaboration with the Decora platform:
1.1 Providing an online sales infrastructure (including creating a store account in the applicant’s name and granting access to the platform and its features) is the responsibility of the Decora platform.
1.2 Promotion of the supplier’s products in target markets will be carried out at Decora’s discretion through social media, Google, and other international channels.
1.3 Product display will be done on designated pages of the marketplace for the relevant target users.
1.4 A dedicated product category will be assigned to each user (using additional categories requires an additional fee).
1.5 Provision of market analysis tools to the supplier, at Decora’s discretion, to help monitor sales volume, customer feedback, and more.
1.6 Provision of technical support to the supplier regarding how to upload and manage products on the Decora platform.
2. Registration and User Account
2.1 To become a supplier on the platform, you must complete the registration process, provide accurate and truthful information, and agree to these terms and conditions.
2.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.
2.3 In case of any unauthorized use of your account or any breach of security, you must notify Decora immediately.
3. Supplier Obligations
3.1 Suppliers must ensure that all products listed on the platform fully comply with applicable laws, regulations, and industry standards.
3.2 Suppliers are responsible for providing accurate descriptions and correct pricing of their products.
The supplier is obligated to provide complete and accurate product information, including descriptions, images, prices, weight, product dimensions, packaging dimensions, and other features required by buyers on the platform.
Failure to comply with rules and regulations will result in a penalty of 2% of the product’s value.
3.3 Suppliers must ensure that listed products are in stock and that orders are fulfilled promptly.
3.4 Suppliers commit to providing excellent customer service, including handling returns and exchanges in accordance with Decora’s policies.
3.5 The supplier is required to use the designated shipping plugin provided by the platform and bear the associated costs.
They must also coordinate the on-time delivery of products to the logistics centers designated by the platform within the specified time frame.
Any failure to comply will result in a penalty of 5% of the listed product price per item.
3.6 Suppliers are obligated to respect intellectual property laws and are prohibited from using names, brands, designs, or counterfeit items that infringe on the rights of others.
In the event of any violation, the platform holds no responsibility for potential claims against the supplier, and all legal and financial liability lies solely with the supplier who has uploaded the content.
3.7 Suppliers must keep product stock levels, prices, and all required information updated on the platform.
Any failure to do so that results in damages to buyers will be the supplier’s responsibility.
The platform reserves the right to protect the buyers and, in the case of any loss, seek compensation directly from the supplier.
3.8 Suppliers must comply with all current and future rules and regulations of the platform, including those not mentioned in this document but communicated in the future.
3.9 The supplier is required to provide appropriate textual, visual, and video content for their products that aligns with both Decora’s standards and applicable local and international regulations.
3.10 Accuracy and Validity of Content
All information, descriptions, and claims made by the supplier regarding the products must be accurate, truthful, and up to date.
Any false, misleading, or exaggerated content may result in legal action or penalties by the Decora platform.
3.11 Compliance with Standards
All content provided by suppliers must comply with the defined standards of the platform and existing international guidelines (e.g., ISO standards, national regulations).
3.12 Accurate Product Coding
The supplier commits to coding their products according to Decora’s coding instructions.
3.13 Image Requirements
The supplier is responsible for providing appropriate and professional product photographs with the following criteria:
3.13.1 High Resolution and Professional Quality
Images must be of high quality, with a resolution of 1000×1000 pixels, so that product details are clearly visible.
Low-quality or unprofessional images may reduce customer trust and breach contract obligations.
The platform also reserves the right to reject and withhold publication of non-compliant images and content.
3.13.2 Comprehensive Product Display
Images must clearly show all significant and relevant aspects of the product, including multiple angles, key components, and overall Dimension.
3.13.3 No Use of Fake or Misleading Images
The supplier must not use fake or inaccurate images or incorrect representations of the product.
All images must accurately depict the actual product being offered to the customer.
3.14 Providing Promotional or Instructional Videos
The supplier is required to provide promotional or instructional videos.
These videos must adhere to Decora’s branding and marketing guidelines and include the following features:
3.14.1 Clear Explanation of Product Features and Use
The video must comprehensively demonstrate how the product is used, its advantages, and key features.
3.14.2 High Production Quality
Videos must be professionally made and high-quality to ensure the intended message is effectively delivered to the audience.
3.14.3 Brand and Marketing Consistency
All videos must align with Decora’s brand image and customer marketing policies.
3.14.4 Silent Videos with Background Music Only
Videos must be voiceless and feature appropriate background music.
Videos are to be displayed on the product page, and the use of footage showing the supplier or other individuals is strictly prohibited.
Decora reserves the right to withhold publication of non-compliant videos.
3.14.5 Duration and Focus
Videos should be 30 to 40 seconds long and focus on showcasing different aspects of the product.
3.15 Accurate and Complete Product Specifications
The supplier is responsible for providing accurate and comprehensive technical specifications and relevant information about the products, including:
3.15.1 Written Content and Complete Product Description
The supplier must provide complete product descriptions, including dimensions, packaging size, and weight.
3.15.2 Inventory Count
The supplier is responsible for entering product inventory into Decora’s system.
If a product is ordered by a customer but not available in stock, the supplier agrees to pay a penalty equal to the product’s price.
This penalty compensates for Decora’s marketing and promotional expenses in other countries and the damage caused to Decora’s professional reputation due to undelivered products.
3.15.3 Certifications and Approvals
If a product requires compliance with specific standards for sale in Europe, the supplier must obtain and upload the necessary documents and certificates (e.g., ISO, CE, FDA) that prove compliance with international and European standards.
3.16 Safety Information and User Instructions
If a product requires specific usage instructions (particularly technical, chemical, or complex products), the supplier must provide clear and easy-to-understand guidance and instructions.
3.17 Legal Compliance of All Content
All content provided by the supplier (including text, images, and videos) must comply with local and international laws, including copyright laws, consumer protection regulations, and advertising standards.
Decora bears no responsibility for the content, and the supplier assumes full liability for any content published on the platform.
3.18 Temporary Suspension of Content
If Decora observes or receives a report concerning potentially non-compliant content, it reserves the right to suspend publication of such materials until the matter is resolved.
4. Pricing
4.1 The supplier is responsible for setting product prices in a manner that ensures, after deducting Decora’s fees and commission, they receive their desired sale amount.
4.2 As Decora plays no role in product pricing, and pricing is fully determined by the supplier or seller, the supplier is obligated to provide accurate and appropriate pricing for their products.
5. Content and Intellectual Property
5.1 By uploading content to the platform, suppliers grant Decora a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content.
5.2 Suppliers guarantee that they either own the content or possess the necessary rights to use and upload it to the platform.
5.3 Decora reserves the right to remove any content that violates these terms or is deemed inappropriate for any reason.
5.4 Decora will conduct general advertising for the marketplace as a whole.
Such advertising is conducted randomly, and Decora makes no commitment to promoting or displaying any specific supplier’s products.
5.5 Decora’s advertising is conducted through social media and international advertising platforms, based solely on Decora’s discretion.
5.6 If a supplier wishes to run dedicated advertising campaigns for their own products, they may do so by entering into a separate agreement with Decora’s marketing department.
5.7 If a customer or regulatory authority identifies any issue in the content (e.g., inaccurate or misleading information), the supplier must immediately correct the issue and replace the content with accurate information.
Repeated violations will result in negative ratings for the supplier.
If the issue is repeated more than three times, Decora reserves the right to deactivate the supplier’s store and claim compensation for damages.
6. Shipping and Logistics
Compliance with Shipping Conditions:
The supplier must use the transportation methods designated by Decora to ensure that products arrive at Decora’s logistics warehouse without damage or defects.
This includes proper initial packaging and using appropriate vehicles for transporting goods.
It is understood that Decora will not accept broken, defective, or non-standard items, and the supplier is obligated to promptly replace any damaged products.
6.1 Provision of Shipping Documents:
The supplier must provide complete shipping documentation, such as the bill of lading, invoice, and other relevant transport documents, along with the products.
6.2 Commitment to Delivering Products as Agreed:
Upon arrival of the products at Decora’s warehouse, designated experts will inspect and verify the goods to ensure they are in accordance with the contractual specifications and are undamaged.
The supplier must deliver the products in a manner that fully complies with the agreed quality and quantity listed in the online sales listing.
It is understood that after inspection and approval by Decora’s experts, the supplier may proceed with a payment request.
6.3 Cooperation During Inspection Process:
If further information or cooperation is required during the inspection, the supplier must assist the inspectors in the verification and approval process.
In case of any defects or discrepancies, the supplier must immediately take necessary actions to replace the product with an authentic and standard-compliant version.
After successful inspection and approval, the products will proceed to final packaging, which follows international packaging standards.
6.4 Adherence to Packaging Standards:
The supplier is responsible for using packaging that is appropriate for the product type and shipping conditions, to prevent any damage during distribution.
This includes using durable packing materials, correct labeling, and following other logistical requirements.
6.5 Resolution of Logistics Issues:
If any issues arise during shipping, inspection, or packaging, the supplier must take immediate action to resolve them.
This includes compensating for damaged or defective goods and replacing them as quickly as possible.
6.6 Continuous Updates:
The supplier must regularly update information regarding the shipping, delivery, and inspection status through their Decora dashboard, ensuring a smooth logistics process.
Failure to comply will result in a penalty of 2% of the product value.
6.7 Responsibility for Product Condition During Transport:
The supplier is responsible for ensuring that products do not get damaged, spoiled, or degraded during transit.
In the event of any product defects caused by improper transportation, the supplier must replace or compensate for the defective goods.
7. Prohibited Activities
7.1 Suppliers are strictly prohibited from engaging in the following actions:
7.2 Publishing or sharing misleading, false, or inaccurate information.
7.3 Violating the intellectual property rights of third parties.
7.4 Engaging in any activity that may harm the reputation or operations of Decora.
7.5 Using the platform for illegal or unauthorized purposes.
7.6 Unauthorized use of the Decora brand or platform:
Suppliers are not allowed to use the name, logo, or reputation of the platform without written authorization.
Any unauthorized use will result in penalties and legal action.
8. Fees and Payments
8.1 Suppliers agree to pay all applicable subscription or participation fees as specified during the registration process.
8.2 As the platform is subject to income-based taxation due to its sales operations, it is understood that any tax related to product sales is the sole responsibility of the supplier.
Decora will process customer payments and transfer the net amount to the supplier after deducting all applicable fees.
8.3 Suppliers are responsible for paying all taxes related to the sales of their products on the platform.
8.4 All payments from Decora to suppliers will be made twice per month, on the 15th and 30th of each month, after product approval at Decora’s logistics warehouses.
(The timing is calculated from the date the product arrives and is approved.)
Depending on the request date, the product value will be calculated based on the currency exchange rate of that day, and the net amount (after deductions and Decora’s commission) will be paid to the supplier.
8.5 In return for product sales, marketing, evaluation, packaging, and shipment services, Decora will retain 30% of the product’s sale price as its commission from the supplier.
9. Termination of Collaboration
9.1 The supplier’s agreement with Decora is valid for a one-year term, renewed annually.
9.2 Since registration and product listing fees are used for platform maintenance and supplier training, Decora is not obligated to refund any payments made by the supplier.
9.3 Decora reserves the right to unilaterally suspend or permanently block a supplier’s account at any time if the supplier violates these terms or any applicable law.
9.4 The platform may also terminate the collaboration unilaterally if there is a decline in product quality or failure to meet required standards.
9.5 If the supplier wishes to withdraw from the Decora platform, they must notify Decora by email at vendorsupport@decora.pt, at least one month in advance, stating the reason for the withdrawal.
Failure to comply with this notice period—if it results in damage to Decora’s brand reputation—will result in the supplier being subject to penalties.
10. Limitation of Liability
10.1 Decora shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the platform.
10.2 Decora’s maximum liability for any claims related to these terms shall not exceed the total fees paid by the supplier to Decora in the past twelve (12) months.
10.3 Breach of confidentiality obligations:
If a supplier discloses confidential customer information without authorization, they will be subject to severe penalties and may face legal action.
In accordance with GDPR and the sensitivity of user data, any customer data collected must be securely stored, and the supplier is strictly prohibited from storing or using such data for personal purposes.
10.4 Fraud or Forgery:
If the supplier intentionally provides false information or submits forged documents related to the contract, they may be subject to legal prosecution.
10.5 Violation of Trade Regulations:
If the supplier violates domestic or international trade laws, they may face criminal prosecution and their authorization to operate on the Decora platform will be revoked.
10.6 Smuggling or Supplying Prohibited Goods:
If the supplier provides prohibited or illegal products, they will be held legally accountable under charges of smuggling or trade in illegal goods.
Decora shall bear no responsibility for such offenses.
