2.2 You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.
2.3 You must notify Decora immediately of any unauthorized use of your account or any other breach of security.
3. Supplier Obligations
3.1 Suppliers must ensure that all products listed on the Platform comply with all applicable laws, regulations, and industry standards.
3.2 Suppliers are responsible for accurately describing and pricing their products.
3.3 Suppliers must ensure the availability of listed products and fulfill orders promptly.
3.4 Suppliers agree to provide excellent customer service, including handling returns and exchanges in accordance with Decora’s policies.
4. Prohibited Activities
4.1 Suppliers may not:
a) Post any misleading, false, or inaccurate information.
b) Infringe on any third party’s intellectual property rights.
c) Engage in any activity that may harm Decora’s reputation or operations.
d) Use the Platform for any illegal or unauthorized purpose.
5. Content and Intellectual Property
5.1 By uploading Content to the Platform, Suppliers grant Decora a non-exclusive, royalty-free, worldwide license to use, display, and distribute the Content.
5.2 Suppliers warrant that they own or have the necessary rights to use and upload the Content.
5.3 Decora reserves the right to remove any Content that violates these Terms or is otherwise objectionable.
6. Fees and Payments
6.1 Suppliers agree to pay any applicable subscription fees as outlined during the registration process.
6.2 Decora will process payments from Customers and remit the net proceeds to Suppliers, less any applicable fees.
6.3 Suppliers are responsible for any taxes associated with their sales on the Platform.
7. Termination
7.1 Decora reserves the right to suspend or terminate a Supplier’s account at any time for violation of these Terms or any applicable law.
7.2 Suppliers may terminate their account by providing written notice to Decora.
8. Limitation of Liability
8.1 Decora is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Platform.
8.2 Decora’s total liability to any Supplier for any claim arising out of or related to these Terms will not exceed the total fees paid by the Supplier to Decora in the preceding twelve months.
9. Indemnification
9.1 Suppliers agree to indemnify and hold harmless Decora, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising out of or related to the Supplier’s use of the Platform or violation of these Terms.
10. Governing Law
10.1 These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Decora operates, without regard to its conflict of law principles.
11. Changes to Terms
11.1 Decora reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Suppliers are responsible for reviewing these Terms periodically to ensure continued compliance.

Customer Terms and Conditions

4.3 Risk of loss and title for products pass to you upon delivery to the specified address.
5. Right of Withdrawal
5.1 As a Customer in the European Union, you have the right to withdraw from your purchase within 14 days without giving any reason.
5.2 The withdrawal period will expire 14 days after the day you receive the products.
5.3 To exercise the right of withdrawal, you must inform Decora of your decision to withdraw by a clear statement (e.g., a letter sent by post or email).
5.4 You must return the products in their original condition within 14 days of notifying Decora of your withdrawal. You will bear the cost of returning the products.
5.5 Decora will refund all payments received from you, including the cost of delivery (except for supplementary costs arising if you chose a delivery method other than the least expensive standard delivery offered), within 14 days of receiving the returned products or proof of return.

9.2 Any disputes arising out of or related to these Terms will be subject to the exclusive jurisdiction of the courts of the Customer’s place of residence.
